| The Board's comments on this appointment (including rationale, selection criteria, and the search and nomination process) | The Board has reviewed and considered the credentials and independence of Mr Kee Teck Koon and is satisfied that Mr Kee can be appointed as an Independent Non-executive Director. Mr Kee served as a non-independent director on the board of CapitaMall Trust Management Limited ("CMTML") from April 2003 to October 2012 and as an independent director and Chairman on the board of CapitaMalls Malaysia REIT Management Sdn Bhd ("CMRMSB") from June 2010 to October 2012. Mr Kee retired as Chief Investment Officer of CapitaLand Limited ("CL") on 1 July 2009, a position he held from February 2007. Between November 2000 and January 2007, he assumed various senior management appointments with several business units within the CapitaLand group. Whilst under the employ of the CapitaLand group, Mr Kee also served as a non-independent director of CapitaCommercial Trust Management Limited ("CCTML") from October 2003 to July 2009. CMTML, CMRMSB and CL are related corporations of CCTML. Mr Kee has confirmed that neither he nor his immediate family (a) holds 10% interest in the voting units of CapitaCommercial Trust or 10% interest in the voting shares of CCTML; (b) has been employed by CCTML or its related corporations in the current or past three financial years, (c) has accepted any compensation from CCTML or any of its subsidiaries for the current or immediate past financial year, (d) been a substantial shareholder of or a partner in or an executive officer of or a director of any for profit business which has made or received significant payments from CCTML or its subsidiaries in the current or immediate past financial year or (e) been involved in any situation which would affect his independence in CCTML. Based on the above and having considered whether or not Mr Kee's past directorships in CMTML and CMRMSB and his past senior management appointments within the CapitaLand group will affect his independence, the Board is of the view that he should be considered an Independent Director on the Board of CCTML. The valuable insight which Mr Kee gained into CCT, its markets and the industry during his previous tenure as a director of CCTML will benefit CCTML and CCT. | |

He was previously a Director of CapitaMall Trust Management Limited (the manager of CapitaMall Trust listed on the SGX-ST) from 2003 to 2012, CapitaCommercial Trust Management Limited (the manager of CapitaCommercial Trust listed on the SGX-ST) from 2003 to 2009, CapitaRetail China Trust Management Limited (the manager of CapitaRetail China Trust listed on the SGX-ST) from 2006 to 2009 and The Ascott Limited (delisted in April 2008) from 2000 to 2009.
